Transaction Services Team – Paralegal

Join our well-established, high performing and busy Transaction Services Team (TST) as a Paralegal to help us deliver a world class service to our clients. The TST focuses on tasks that are found in a wide variety of legal assignments but which do not necessarily need to be done by qualified lawyers, such as document review, due diligence and e-disclosure, as well as process elements of transactional, advisory, commercial real estate and litigation work.

Launched in 2010, we are now one of Addleshaw Goddard's biggest divisions with over 140 employees, made up of legal apprentices, paralegals and solicitors. The Role

Whilst you will be aligned to the Corporate team in our Edinburgh office, for the first 6 months, you will be seconded to one of our large aviation clients, Edinburgh Airport, based at their premises. During that secondment you could expect to undertake a variety of tasks including:

  • Supporting the business with drafting and managing commercial contracts
  • Some Company Secretarial work
  • Working with the business’ external litigation lawyers to manage a small portfolio of litigation across the business
  • Supporting the business on property work
  • Advising business employees on complying with company policy
  • General support on ad hoc matters, including undertaking research

Following the conclusion of the secondment you will return to the Corporate team in Edinburgh, where you will continue to work with the Division with a wide range of tasks, including those set out below. You will also have a specific focus on continuing to develop the relationship with Edinburgh Airport following your secondment.

  • Reviewing and reporting on contracts and other documentation as part of a corporate due diligence exercise
  • Drafting and producing legal documentation and standard forms
  • Managing electronic data sites, uploading and ordering documentation, and liaising with third parties
  • Providing transactional support on corporate, banking or real estate projects
  • Drafting and advising on commercial agreements
  • Providing support to our clients on-site
  • Undertaking legal research and producing notes of advice and newsletters.
  • Any additional tasks as required by the business

  • Strong written and verbal communication skills, demonstrating an ability to communicate with colleagues at alllevels
  • A positive, enthusiastic, and proactive approach to their work
  • Effective personal organisational and time management skills and the ability to juggle multiple demands
  • The ability to work to tight timescales with a sense of urgency
  • Common sense, commerciality and the ability to exercise sound judgement
  • A strong desire to develop and succeed
  • A Degree level qualification and previous paralegal experience is desirable

The TST focuses on tasks that are found in a wide variety of legal assignments but which do not necessarily need to be done by qualified lawyers, such as document review, due diligence and e-disclosure, as well as process elements of transactional, advisory, commercial real estate and litigation work. The Role

The Paralegal will work as part of the Transaction Services Team to provide support to fee earners in our Business Support and Restructuring division. As a Paralegal embedded in this team, the work is varied.

The type of tasks that you'd be assisting the BSR department on could include the following:

  • Drafting and producing legal documentation and standard forms

  • Reviewing legal documentation

  • Reviewing and reporting on security documentation for major financial institutions

  • Liaising with internal and external parties on various matters

  • Drafting Land Registry applications and conducting Land Registry searches

  • Assisting with post completion

  • Providing on-site assistance to clients when necessary

  • Any additional tasks as required by the BSR department

 

What we are looking for

  • Property experience, dealing with sales, purchases and/or refinances.

  • Preparing and negotiating missives, dispositions, standard securities and discharges.

  • Familiar with Registers of Scotland and Search providers.

  • Able to compile title packs and review title.

  • Experience with registering documents at both Registers of Scotland and Companies House.

  • Comfortable working with spreadsheets/tables.
